Welcome to use UClear and related services!

using UClear and related services, please be sure to carefully read and fully understand the entire content of the UClear User Agreement (hereinafter referred to as the "Agreement") , especially the core contents such as the disclaimer, liability limitation clauses, rights license clauses, information use rules, and applicable law and dispute resolution clauses marked in bold. If you are under the age of 18, you must read this agreement in the presence of your legal guardian and obtain his or her explicit consent before using the service.

Unless you fully accept all the terms of this Agreement, please do not download, install, start or use UClear and related services in any way (hereinafter collectively referred to as "Use"). If you use UClear in any form, it is deemed that you have fully understood this Agreement and voluntarily accept the legal constraints of all terms as a party to the Agreement.

 

1. Scope of application

1.1 This Agreement is a legal document between you and the Developer (hereinafter referred to as the "Developer") regarding your downloading, installation, and use of the UClear application and related services. Some of the services under this Agreement may be provided by the Developer's affiliates or partners. Your use of such services shall be deemed as your knowledge and agreement that the relevant rights and obligations are subject to this Agreement.

1.2 The "User" or " you " mentioned in this Agreement includes all natural persons, legal persons or other organizations that directly or indirectly use UClear and related services.

1.3 UClear is a client application legally developed and operated by a developer under the brand name UClear, which provides you with services such as intelligent contact management and diversified contact adding methods.

1.4 The contents of this Agreement include the supplementary agreements, service rules, privacy statements and other documents that have been published by the developer and subsequently updated through system pop-ups, in-site messages, official website announcements, etc. Once the above content is officially released, it will become an integral part of this Agreement, and you shall comply with and be bound by it.

 

2. Use of UClear and related services

2.1 Users can obtain UClear client applications through official pre-installed channels or third-party platforms authorized by the developer . Any software version obtained through channels not officially authorized by the developer is considered an unofficial version. The developer does not guarantee its availability and security, and the user shall bear any losses incurred thereby.

2.2 Users can decide on their own the use and update of UClear and related services. If they no longer need to use UClear and related services, they can stop using and uninstall the application .

2.3 Developers may provide differentiated software versions for different operating systems and terminal devices. Users should obtain, download and install the appropriate application version based on the actual device conditions .

2.4 Users need to equip themselves with terminal devices that meet the requirements and use related network services. Once you start the UClear application in your terminal device , it is deemed that you use UClear and related services , and the resulting network communication costs (such as data traffic, etc.) are borne by the user.

2.5 In order to better improve user experience and services, the developer will provide software updates or changes from time to time (including but not limited to function optimization, version upgrades , development of new services, etc.). In order to ensure the security of UClear and related services and improve user services, after the software and related services are updated or some service content is updated, the developer will notify through in-app notifications, official website announcements and other appropriate methods where possible . Users have the right to choose whether to accept the updated version or service . If the user does not accept, some functions will be restricted or cannot continue to be used.

2.6 Without the developer's explicit written authorization, no user may conduct unauthorized access or use of UClear and related services, including but not limited to adaptation, copying, dissemination, vertical search, mirroring or trading.

2.7 The developer grants the user the right to use UClear and related services in a personal, non-transferable, non-exclusive and non-commercial manner . All other rights not expressly authorized in this Agreement remain reserved by the developer. The user must obtain the developer's written permission when exercising such rights. At the same time, if the developer does not exercise any of the aforementioned rights, it does not constitute a waiver of such rights.

 

3. User Code of Conduct

3.1 User Behavior Requirements

You shall bear full responsibility for your use of UClear and related services . Unless permitted by law or authorized in writing by the developer, you shall not engage in the following actions:

3.1.1 Use any plug-in, external device, system or third-party tool that is not authorized or licensed by the developer to interfere with, damage, tamper with or otherwise affect the normal operation of UClear and related services .

3.1.2 Use or target UClear and related services to conduct any behavior that endangers computer network security, including but not limited to:

(1) Activities that endanger network security, such as illegally intruding into other people's networks, interfering with the normal functions of other people's networks, stealing network data, etc.;

(2) Knowing that others are engaged in activities that endanger network security, providing them with technical support, advertising promotion, payment settlement, etc.;

(3) Using unauthorized data or accessing unauthorized servers/accounts;

(4) Providing programs and tools specifically used to engage in activities that endanger network security, such as intrusion into the network, interference with the normal functions and protection measures of the network, and theft of network data;

(5) Accessing a public computer network or another person's computer system without permission and deleting, modifying or adding stored information;

(6) Attempting to interfere with or disrupt the normal operation of the UClear system or website, intentionally spreading malicious programs or viruses, or other acts that disrupt or interfere with normal network information services;

(7) Attempting to probe, scan, test the vulnerabilities of UClear systems or networks without permission or other acts that undermine network security;

(8) Forging network data packet information , including but not limited to TCP/IP data packet names or part of the names.

3.1.3 Reverse engineer, decompile or otherwise attempt to obtain the source code of UClear .

3.1.4 Other acts that violate laws and regulations, this Agreement, the developer's relevant rules, and infringe upon the legitimate rights and interests of others. If a user violates the rules, the developer has the right to: review and delete the content of reports and complaints, including but not limited to user information and chat records, at any time without notice, and impose penalties on the violating account, including but not limited to warnings , restricted functions, and banned accounts , depending on the severity of the case, and notify the results of the handling in an appropriate manner .

3.1.5 Banned users can file an appeal through guangz0817@163.com . The appeal will be reviewed and the court will make a reasonable decision on whether to change the penalty measures.

 

3.2 Content Standards

UClear and related services, users should consciously abide by the Constitution, laws, regulations, public order, social morality, the socialist system, national interests, citizens' legitimate rights and interests, moral standards, and information authenticity. Users may not use UClear and related services to produce, copy, publish, or disseminate content containing the following:

(1)  Content that opposes the basic principles established by the Constitution ;

(2)  Content that subverts state power, overthrows the socialist system, incites the splitting of the country, or undermines national unity ;

(3)  Content that damages the national honor and interests ;

(4)  Content that endangers national security or leaks state secrets ;

(5)  Content that promotes terrorism or extremism ;

(6)  Content that promotes ethnic hatred, ethnic discrimination, and undermines ethnic unity ;

(7)  Content that undermines the state's religious policies and promotes cults and superstitions ;

(8)  Content that incites regional discrimination or regional hatred ;

(9)  Content that secretly photographs or records others without their permission, or infringes upon the legal rights of others ;

(10)  Content that infringes upon the legitimate rights and interests of minors or harms the physical and mental health of minors ;

(11)  content that is violent, obscene, pornographic, gambling, murderous, terrorist, or instigating crime ;

(12)  Fabricating and spreading rumors or false information that disrupt economic and social order and undermine social stability ;

(13)  Content that is horrific, violent, bloody, highly dangerous, or harmful to the physical and mental health of the performer or others ;

(14)  Content that endangers network security or uses the Internet to endanger national security, honor, and interests ;

(15)  Content that insults or defames others or infringes upon the legitimate rights and interests of others ;

(16)  content that undermines social order and morality ;

(17)  Disseminating commercial advertisements, or similar commercial solicitation information, excessive marketing information, or spam information;

(18)  Content that intimidates or threatens others with violence, or conducts human flesh searches ;

(19)  Content that infringes upon the privacy, reputation, portrait rights, intellectual property rights and other legal rights of others ;

(20)  Content involving other people’s privacy, personal information or data ;

(21)  Comments in languages other than the language commonly used on this website ;

(22)  Other information that violates laws, regulations, policies, public order and good morals, interferes with the normal operation of UClear , or infringes upon the legitimate rights and interests of other users or third parties.

 

3.3 Complaints and Reports

Developers have set up an open and transparent complaint reporting channel. Users can report all kinds of illegal and irregular behaviors, bad communication activities or illegal and harmful information to the designated mailbox UClear team guangz0817@163.com through the complaint mechanism announced by the developer. We promise to accept, investigate and handle all complaints and reports in a timely manner, and work with users to maintain a safe and healthy network environment.

 

4. Personal Information Protection

4.1 We always put the protection of user personal information in the first place. When using UClear services, you may need to provide necessary personal information so that we can provide you with better services and corresponding technical support. You acknowledge and agree that the developer has the right to obtain, use, store and share your personal information under the premise of complying with laws and regulations , this Agreement and the Privacy Policy .

4.2 To protect your information security and prevent your personal information from unauthorized access, use or disclosure , the Developer will take the following measures:

( 1 ) Deploy industry-standard encryption technology;

( 2 ) Establish a sound safety management system;

( 3 ) Implement data anonymization;

( 4 ) Adopt other technical means that are compatible with UClear services.

4.3 During your use of UClear, we solemnly promise that we will never collect or use your bank card number, third-party payment account and corresponding password, ID number and other sensitive and important personal information without your explicit authorization and consent. We strictly abide by relevant laws and regulations and industry standards, and adopt a series of strict technical and management methods such as encrypted transmission and data anonymization to protect your information security. If the above important information is leaked due to your personal improper operation, the risks and losses incurred shall be borne by you.

4.4 Without your prior explicit authorization, we will not share your personal information with any third party other than the Developer and its affiliates, except in the following circumstances:

( 1 ) You choose to share with a third party ;

( 2 ) involving major public interests such as national security and public safety ;

( 3 ) Personal information is collected from legally disclosed information, such as legal news reports, government information disclosure, etc.;

( 4 ) Disclosure or provision in accordance with the requirements of applicable laws and regulations, mandatory administrative and judicial requirements, or directly related to criminal investigation, prosecution, trial and execution of judgments. Subject to compliance with laws and regulations, when we receive a request for the above-mentioned disclosure of information, we will require the other party to produce corresponding legal documents, such as a subpoena or investigation letter. We will carefully review all requests to ensure that they have a legal basis and are limited to data that administrative and judicial departments have the legal right to obtain for specific investigation purposes;

( 5 ) To the extent permitted by laws and regulations, in order to safeguard the life, property and other major legal rights of other UClear users, developers and their affiliates, or for the safe and stable operation of UClear and related services, such as finding, preventing, and handling illegal activities such as fraud and reducing credit risks (excluding the disclosure or provision of personal information for profit purposes in violation of the commitments made in UClear's Privacy Policy);

( 6 ) Other circumstances permitted by laws and regulations .

4.5 If UClear contains links to information or other services (including websites) provided by third parties, you are aware and understand that the third party operating such services may require you to provide relevant personal information. We especially remind you that you need to carefully read the user agreements, privacy policies and other relevant terms of such third parties, properly protect your personal information, and only provide it to such third parties when necessary. This Agreement (and other agreements and rules related to UClear , including but not limited to UClear's Privacy Policy) does not apply to any services provided by any third party, and the Developer shall not bear any legal responsibility for any consequences that may arise from the use of personal information provided by you by a third party.

5. UClear Data Usage Guidelines

Without the written permission of the developer, the user shall not, on his/her own or authorize, allow, or assist any third party to conduct the following actions on the information content in UClear and related services under this Agreement:

5.1 Edit, organize, or arrange the information content of UClear and related services without authorization , and display it on platforms or channels other than the source pages of UClear and related services;

5.2 Unauthorized copying, reading or using the information content of UClear and related services for commercial purposes including but not limited to promotion, increasing reading volume or page views;

form of identification technology, including but not limited to special logos, special codes, etc. , to conduct traffic diversion, hijacking, or other actions that may have adverse effects on the information or content of UClear and related services , either by yourself or with the assistance of a third party ;

5.4 Obtain information content from UClear and related services by crawling, malicious caching or other illegal means , or perform other acts that infringe upon the platform's data rights.

 

6. Breach of Contract

6.1 If you violate this Agreement or other terms of service, the developer has the right to independently judge and take corresponding measures according to the circumstances. For suspected violations of laws and regulations or suspected crimes, the developer will retain relevant records, report to the competent authorities and cooperate in investigations in accordance with the law.

6.2 If you violate this Agreement or other terms of service and cause third-party complaints or lawsuits, you shall bear all legal responsibilities independently. If the developer and its affiliated developers or controlled developers need to bear compensation liability to third parties or receive administrative penalties from state agencies due to your illegal or breach of contract behavior, you shall fully compensate the developer and its affiliated developers or controlled developers for the direct and indirect losses (including but not limited to economic losses, damage to goodwill, rights protection costs, etc.) suffered as a result.

6.3 Developers shall respect and protect the intellectual property rights, reputation rights, name rights, privacy rights and other legal rights of legal persons and natural persons in accordance with the law. You promise not to infringe on the intellectual property rights, personality rights (including but not limited to reputation rights, name rights, privacy rights) or other legal rights of any third party when using UClear and related services to produce, copy, publish and disseminate information. You shall bear all legal responsibilities for all claims made by third parties ; if the developer and its affiliated developers and controlled developers suffer losses (including economic losses, loss of goodwill, litigation costs, etc.) due to your infringement, you shall fully compensate the developer and its affiliated developers and controlled developers for all direct and indirect losses.

 

7. Changes, Interruptions and Termination of Services

7.1 You are clearly aware of and voluntarily accept that UClear and related services are provided in accordance with the current status of existing technology and conditions . The developer will make every effort to ensure the stable operation of the service and data security, but due to technical limitations and objective external risks, such as force majeure events, network viruses or Trojan attacks, hacker intrusions, system failures, third-party service anomalies, etc., may cause service interruptions, data loss or other losses. You must fully understand such risks.

7.2 You understand and agree that the developer has the right to modify, suspend, terminate or terminate UClear and related services after prior notice in the form of an announcement in order to ensure the continuous optimization and overall operation of the service. In this case, the developer does not need to bear any responsibility or compensation obligation to the user for the above operations.

 

8. Advertising

8.1 When using UClear and related services, you fully understand and agree that: the service may include information publishing, advertising promotion or brand marketing services provided by developers for individuals or enterprises. You agree that developers have the right to display commercial advertisements, promotional content or third-party partner information (including commercial and non-commercial information) related to the service in UClear and related services.

8.2 If you do not agree to receive a specific type of advertising information, you can choose to turn off such advertising push through the system settings; for UClear's push notification service, you have the right to turn off notification permissions or stop using the service in the device system settings.

8.3 The developer will strictly abide by the Advertising Law and other laws and regulations to fulfill relevant obligations. You need to judge the authenticity, legality and reliability of the advertisements or promotional information on your own and be responsible for your own decisions. Unless otherwise expressly provided by laws and regulations, you will be solely responsible for any purchases, transactions or any damages or losses caused by such advertisements or promotional information, and the developer will not be liable for compensation.

 

9. Intellectual Property

9.1the content provided by the developer in UClear and related services (including but not limited to software, technology, programs, web pages, text, pictures, images, audio, video, charts, layout design , electronic documents, etc.) belong to the developer. The copyright, patent right and other intellectual property rights of the software relied on by the developer when providing this service belong to the developer. Without the permission of the developer, no one may use it without authorization (including but not limited to monitoring, copying, disseminating, displaying, mirroring, uploading, downloading the content in UClear and related services through any robot, spider or other program or device).

9.2 Developers provide technical support for the development and operation of UClear and have full rights to all data and information generated during the development and operation of UClear and related services.

9.3 Please do not use any trademark, service mark, trade name, domain name, website name or other significant brand features (hereinafter collectively referred to as "Logos") of the Developer (including but not limited to UClear , etc.) without permission under any circumstances. Without the prior written consent of the Developer, you may not display, use or apply for trademark registration, register domain names, etc. of the aforementioned Logos in this clause alone or in combination with any other means, nor may you expressly or implicitly indicate to others that you have the right to display, use, or otherwise have the right to deal with such Logos. You shall bear all legal responsibilities for any losses caused to the Developer or others due to your use of the above-mentioned trademarks, logos, etc. of the Developer in violation of this Agreement.

 

10. Terms of Use for Minors

10.1 If you are a minor under the age of 18, you must be accompanied by your guardian, receive detailed guidance, and carefully read this Agreement and obtain your guardian's explicit consent before you can use UClear and related services. We strongly recommend that guardians supervise the use of minors to ensure that they use network services reasonably and healthily.

10.2Minor users should be aware that if there is any violation of laws, regulations, or this Agreement, they and their guardians shall bear the corresponding legal responsibilities in accordance with the law, including but not limited to compensation for losses, elimination of impacts, and other consequences. Please be sure to abide by the rules and maintain a safe network environment .

10.3 The developer strictly abides by the relevant laws and regulations on the protection of minors and attaches great importance to the personal information security of minors. When filling in personal information, minors should be cautious under the guidance of their guardians and should not disclose sensitive information (such as ID number, home address, etc.) at will. If the guardian finds that the minor has improper use or information leakage risks, he/she can contact us through the contact information published in this agreement, and we will do our best to assist in handling it.

1 0 .4 Special tips for minors:

10.4.1 When using this software and related services, young users must be under the full supervision and guidance of their guardians, reasonably control the length of use, avoid being addicted to the virtual network space, and develop healthy Internet habits. We encourage minors to spend more time on real-life learning and socializing, and make full use of the positive value of the Internet .

10.4.2 Young users must abide by the National Youth Network Civility Convention:

(1) Be good at online learning and avoid browsing harmful information;

(2) Communicate honestly and in a friendly manner, and do not insult or deceive others;

(3) Enhance self-protection awareness and do not casually date online friends;

(4) Maintain network security and do not disrupt network order;

(5) It should be beneficial to physical and mental health, and not addictive to virtual time and space.

 

11.   Disclaimer

11 .1 You are aware of and willing to bear the following risks: UClear and related services may be affected by multiple factors such as technology, network, and third parties. The developer does not provide any express or implied warranties, including but not limited to:

11.1.1 The developer is fully suitable for the user's usage requirements;

11.1.2 The Developer will be uninterrupted, timely, secure, reliable or error-free; and any software, services or other materials obtained by Users through the Developer will meet Users' expectations;

11.1.3 All errors in the software will be corrected in a timely manner.

11.2 Developers obtain the right to deal with illegal and unlawful content in accordance with the provisions of this Agreement. This right does not constitute an obligation or commitment of the developer, and the developer cannot guarantee to discover illegal activities in a timely manner or take appropriate measures.

11.3 The user reads, understands and agrees that the developer does not provide any type of guarantee or condition for the services under this Agreement (including but not limited to implied warranties of merchantability, fitness for a particular purpose, etc.). You shall bear all risks of using the services and related software, including but not limited to data loss, equipment failure or business loss.

11.4 The user reads, understands and agrees that this agreement is to ensure compliance with national laws and regulations, maintain public order and good customs, and protect the legitimate rights and interests of others. The developer will make every effort to make judgments in accordance with relevant laws and regulations within its capabilities, but it does not guarantee that the developer's judgment is completely consistent with that of the judicial and administrative authorities. The user has understood and agreed to bear the consequences arising from this.

11.5 Users read, understand and agree that in the process of using UClear and related services, they may encounter force majeure and other factors (force majeure refers to objective events that cannot be foreseen, overcome or avoided), including but not limited to government actions, natural disasters, network reasons, hacker attacks, wars or any other similar events. In the event of force majeure, the developer will strive to repair it in a timely manner as soon as possible, but the user agrees that the developer will not be responsible for losses caused to the user due to force majeure.

 

12. Other Terms

12.1 The conclusion, validity, performance, interpretation and dispute resolution of this Agreement shall be subject to the laws of the mainland of the People's Republic of China. If any provision of this Agreement is deemed invalid or unenforceable due to conflict with the laws of the mainland, such provision shall be amended to the maximum extent permitted by law to conform to the legislative intent of the original provision as much as possible, and the validity of the remaining provisions shall not be affected and shall still be fully performed.

12.2 This Agreement is signed in Tianhe District, Guangzhou City, Guangdong Province , People's Republic of China . If you have a dispute with the Developer, both parties shall first resolve it through friendly negotiation; if the negotiation fails, the dispute shall be submitted to the People's Court with jurisdiction over Tianhe District, Guangzhou City, Guangdong Province for resolution through litigation.

12.3 The relevant terms in this Agreement will be continuously improved and adjusted during the software testing and external release process. We will publish the improved terms in an appropriate manner and proactively notify you to review them. Once the aforementioned improved terms are officially released, they will become an integral part of this Agreement and have the same legal effect as this Agreement. If you continue to use UClear after the terms are updated, it will be deemed that you fully accept the modified content; if you have any objections to the new terms, please stop using UClear immediately , otherwise it will be deemed that you have accepted all changes.

12.4 The titles of the clauses in this Agreement are for reading convenience only and shall not affect the specific meaning or legal interpretation of the clauses.

12.5 You and the Developer are independent legal entities, and this Agreement does not constitute any agency, partnership, joint venture or employment relationship. Unless otherwise expressly provided by laws and regulations, the Developer does not make any express or implied warranties to you , nor does it assume any indirect losses or incidental liabilities arising from the use of the Services.

12.6 The copyright and right of interpretation of this Agreement belong to the Developer. The Developer reserves the right to modify and update the terms of the Agreement, and the modified terms will take effect in the form of publication.
